Article I: Name
The name of the organization is: The Lace Enclave
Article II: Purpose and Objectives
The purpose of The Lace Enclave is to promote, study, investigate, learn and share the techniques and history of lace and lace making (and related fascinating textile arts). The primary focus of The Lace Enclave is, but not limited to, pre-1700’s lace (and related fascinating textile arts). The Lace Enclave
will fulfill this purpose through the following objectives:
1. Pennsic War, an SCA (Society of Creative Anachronism) event, held in August of each year, in Pennsylvania. The Lace Enclave will arrange for meeting space, share educational information relating to pre-1700’s lace (and related fascinating textile arts) techniques and history, and provide and/or arrange for teachers of pre-1700’s lace (and related fascinating textile arts) techniques and history to be made available for the Arts & Sciences classes held during said event.
2. An Annual Lace Retreat to be held in North-Eastern Ohio. The date will be determined through consensus by the Executive Board and Members. This will also serve as the General Meeting of The Lace Enclave.
3. Providing demonstrations, classes and/or talks for members and/or the general public on the techniques and history of lace making (and related fascinating textile arts), primarily, but not limited to, pre-1700’s lace (and related fascinating textile arts).
4. Having fun.
Article III: Membership
The qualifications for membership are as follows:
1. Adults who want to promote, study, investigate, learn and/or share the techniques and history of lace and lace making (and related fascinating textile arts).
2. Adults who are willing to work with others to help The Lace Enclave meet the stated objectives.
3. Pay a $5.00 membership fee.
4. While not necessary for membership, members are strongly encouraged to be a member of the IOLI (International Old Lacers, Inc.), the SCA (Society for Creative Anachronism) or both.
§ an Active Member is defined as:
1. someone who meets the above qualifications of membership
and
2. has helped with either of the 2 events (as stated in objectives 1 & 2) in each of the previous
2 years.
Article IV: Offices, officers, Executive Board
Offices shall consist of:
1. President, Vice-president and Secretary.
2. These 3 offices will consist of 2-year terms, elected during the appropriate General Meeting.
3. These 3 offices will also constitute the Executive Board.
4. All officers must be Active Members of The Lace Enclave.
The Executive board
1. President
a. Must be a member of the IOLI.
b. Will chair formal meetings.
c. Must work with both the vice-President and the Secretary to reach a consensus for all decisions taken in regards to The Lace Enclave activities.
2. Vice-President
a. Must be a member of the SCA.
b. Will chair formal meetings in the absence of the President.
c. Must work with both the President and the Secretary to reach a consensus for all decisions taken in regards to The Lace Enclave activities.
3. Secretary
a. Will see that all paperwork necessary for The Lace Enclave to run efficiently will be done in a timely manner.
b. Must work with both the President and the Vice-President to reach a consensus for all decisions taken in regards to The Lace Enclave activities.
Article V: Elections
1. Elections will take place during the appropriate General Meeting held during the Annual Lace Retreat.
2. Elections shall be conducted in the following manner:
All Active Members present must reach a consensus as to the Active Members who will fulfill the office (1 per position).
Article VI: Meetings of The Lace Enclave
1. Formal meetings of The Lace Enclave occur during the Pennsic War and at the Annual Lace Retreat. (see Objectives 1 & 2).
2. Informal meetings occur on Thursdays at The Lacemaker in Cortland, Ohio.
3. Special meetings may be called by the Executive Board as deemed necessary.
4. All meetings are open to the general public. However, only Active Members may participate in the consensus process.
Article VII: Amendments
These by-laws may be amended, through consensus of the Active Members present, during the General Meeting held at the Annual Lace Retreat.
Article VIII: Communications
Communication within The Lace Enclave may be achieved by: announcement at a meeting, US mail, telephone or the Internet.
Article IX: Disbanding
In the event The Lace Enclave disbands, the IOLI charter and President’s pin will be returned to the IOLI. Also, any remaining assets and/or monies will be donated to a local non-profit historical society.
